1. INTRODUCTION

1.1. These Terms and Conditions ("Terms") govern your access to and use of the EkoMall platform, including its website, mobile applications, and services (collectively, the "Platform").

1.2. EkoMall operates a technology-enabled marketplace connecting customers with vendors and distributors across Nigeria.

1.3. By accessing or using EkoMall, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

2. NATURE OF SERVICE

2.1. EkoMall provides a managed marketplace, not a direct retail store.

2.2. EkoMall:

  • 2.2.1. Lists products sourced from verified vendors
  • 2.2.2. Facilitates order processing and logistics
  • 2.2.3. Performs quality control through its agent network

2.3. EkoMall does not manufacture products, but ensures:

  • 2.3.1. Vendor verification
  • 2.3.2. Product inspection
  • 2.3.3. Controlled delivery process

3. USER ELIGIBILITY

3.1. You must be at least 18 years old to use this platform.

3.2. By using EkoMall, you confirm that:

  • 3.2.1. You have legal capacity to enter into contracts
  • 3.2.2. All information provided is accurate

4. ACCOUNT REGISTRATION

4.1. Users must provide accurate details during registration.

4.2. You are responsible for:

  • 4.2.1. Maintaining confidentiality of your account
  • 4.2.2. All activities under your account

4.3. EkoMall reserves the right to suspend accounts that:

  • 4.3.1. Provide false information
  • 4.3.2. Engage in suspicious activity

5. ORDERS & CONTRACT FORMATION

5.1. Placing an order constitutes an offer to purchase.

5.2. A contract is formed only when:

  • 5.2.1. Payment is confirmed
  • 5.2.2. EkoMall begins order processing

5.3. EkoMall reserves the right to:

  • 5.3.1. Reject or cancel orders
  • 5.3.2. Adjust pricing errors

6. PRICING & PAYMENTS

6.1. Prices displayed include:

  • 6.1.1. Product cost
  • 6.1.2. EkoMall margin

6.2. Shipping is displayed and added at checkout

6.3. Payments are processed through approved payment gateways.

6.4. EkoMall operates an instant vendor settlement model, meaning Vendors are paid upon confirmed transaction

7. DELIVERY MODEL

7.1. EkoMall operates a controlled fulfillment system:

  • 7.1.1. Products are picked up from vendors
  • 7.1.2. Inspected at EkoMall designated offices
  • 7.1.3. Delivered via internal or partner logistics

7.2. Delivery timelines:

  • 7.2.1. Same-day or next-day (Lagos)
  • 7.2.2. Nationwide delivery via logistics partners

7.3. Delays may occur due to:

  • 7.3.1. Force majeure
  • 7.3.2. Logistics disruptions

8. RETURNS & REFUNDS

8.1. EkoMall offers refunds or replacements under the following conditions:

  • 8.1.1. Products damaged in transit
  • 8.1.2. Defective items
  • 8.1.3. Incorrect deliveries

8.2. Conditions:

  • 8.2.1. Complaints must be made within 48 hours
  • 8.2.2. Returns must be initiated within 7 days

8.3. Items must:

  • 8.3.1. Be unused
  • 8.3.2. Be in original condition (where applicable)

9. INSPECTION & DELIVERY CONFIRMATION

9.1. Customers are required to:

  • 9.1.1. Inspect items upon delivery
  • 9.1.2. Confirm delivery using system-generated verification codes

9.2. Once delivery is confirmed, ownership transfers to the customer

10. PROHIBITED ACTIVITIES

Users must not:

  • 10.1. Engage in fraud or misrepresentation
  • 10.2. Upload false or misleading information
  • 10.3. Attempt unauthorized system access
  • 10.4. Use the platform for illegal transactions
  • 10.5. Distribute harmful software or spam

11. VENDOR RESPONSIBILITIES

11.1. Vendors on EkoMall must:

  • 11.1.1. Provide authentic and accurate product information
  • 11.1.2. Supply genuine products only
  • 11.1.3. Comply with Nigerian regulations (NAFDAC, SON, etc.)
  • 11.1.4. Maintain consistent pricing and availability

11.2. EkoMall reserves the right to suspend or remove non-compliant vendors

12. INTELLECTUAL PROPERTY

12.1. All content on EkoMall (logos, text, images, software) is the property of EkoMall and protected under applicable laws.

12.2. Users may not:

  • 12.2.1. Copy
  • 12.2.2. Reproduce
  • 12.2.3. Distribute without prior written consent.

13. LIMITATION OF LIABILITY

13.1. EkoMall shall not be liable for:

  • 13.1.1. Indirect or consequential losses
  • 13.1.2. Delays beyond reasonable control
  • 13.1.3. Vendor-related issues beyond verification scope

13.2. However, EkoMall will:

  • 13.2.1. Act in good faith to resolve disputes
  • 13.2.2. Enforce vendor compliance

14. TERMINATION

EkoMall reserves the right to:

  • 14.1. Suspend accounts
  • 14.2. Restrict access
  • 14.3. Remove listings for violations of these Terms

15. PRIVACY & DATA USE

EkoMall collects and processes user data in accordance with its Privacy Policy. Data may be used for:

  • 15.1. Order processing
  • 15.2. Verification
  • 15.3. Service improvement

16. DISPUTE RESOLUTION

16.1. All disputes shall first be resolved amicably.

16.2. Where unresolved, disputes shall be settled via Mediation or Arbitration

16.3. Jurisdiction: Laws of the Federal Republic of Nigeria

17. AMENDMENTS

EkoMall may update these Terms at any time. Continued use of the platform constitutes acceptance of updated Terms.
